Terms of Service

1. Acceptance of These Terms

By creating an account, downloading the app, accessing the web app, or otherwise using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services. If you are using the Services on behalf of an organization (for example, as part of an Institutional Partner arrangement described in Section 3.4), you represent that you have authority to bind that organization, and "you" refers to both you and that organization where applicable.

2. Definitions

"AI Features" means the Companion AI, the AI-generated guidance and language outputs within Life Navigator, and any other generative or AI-assisted functionality made available through the Services.

"AI Output" means any text, translation, recommendation, checklist, summary, or other content produced by the AI Features.

"User Content" means any content you submit, post, or share through the Services, including Solo Canvas entries, messages, photos, and profile information.

"Institutional Partner" means an employer, municipality, university, or other organization that sponsors or licenses access to the Services for its members.

3. Eligibility and Accounts

3.1 Minimum Age

You must be at least 18 years old to use the Services. Given the bureaucratic, financial, and in-person social nature of several features, we do not currently offer a supervised or guardian-consented experience for younger users. By using the Services, you represent that you meet this requirement.

3.2 Account Registration

You agree to provide accurate registration information, keep it up to date, and keep your login credentials confidential. You are responsible for all activity that occurs under your account, and you must notify us promptly at the contact details in Section 20 if you suspect unauthorized use of your account.

3.3 One Account per Person

The Services are intended for individual personal use. You may not maintain more than one account to evade restrictions or enforcement actions, and you may not share your account credentials with another person.

3.4 Institutional or Sponsored Access

If you access the Services through an Institutional Partner, additional terms agreed between Sollo and that Institutional Partner may govern aspects of your access (for example, license duration or eligibility). Your Institutional Partner may receive limited, aggregated, de-identified usage information about its sponsored population, but will not receive your individual Life Navigator inputs, Companion AI conversations, or Solo Canvas content, as described further in our Privacy Policy.

4. The Services

Sollo is a life platform for people living independently in Japan (ひとりさまへ), built around four features: Life Navigator (guidance for bureaucratic and life-event situations), Solo Discovery (recommendations for solo-friendly places and activities), Parallel Presence (low-pressure, opt-in awareness of and connection with nearby users), and Solo Canvas (a human-only, non-algorithmic space for personal expression). Each feature has specific terms below, in addition to the general terms that apply across the Services.

4.1 Life Navigator: Nature of the Service

Life Navigator reformats and explains publicly available government and municipal information, for example regarding taxes, pensions, health insurance, unemployment support, and benefits for single parents, into structured, step-by-step guidance, and links back to the original official source wherever one is available. We prioritize official channels such as the e-Gov API when retrieving this information.

4.2 Not Professional Advice

Life Navigator content, including guidance, checklists, eligibility summaries, scripts, and translated explanations, is provided for general informational purposes only. It is not legal, tax, financial, immigration, or medical advice, and it is not a substitute for consultation with a qualified professional, a government caseworker, or the relevant municipal or national authority. Sollo is not a government agency, law firm, accounting firm, or immigration consultancy, and no interaction with Life Navigator or the Companion AI creates a professional-client relationship of any kind. You are solely responsible for independently verifying eligibility, deadlines, required documents, and procedural steps directly with the relevant authority before relying on or acting on any Life Navigator content, and for the consequences of any action or inaction you take.

4.3 Translations and AI-Generated Language Output

Government and municipal source material referenced in Life Navigator is generally published in Japanese. Where Sollo presents this information in English or another language, that content is an AI-generated interpretation based on our AI's trained understanding of the subject matter; it is not a certified, official, or word-for-word translation. We link to the original Japanese-language source alongside translated content wherever possible, so that you, or someone you trust, can verify it. If there is any discrepancy between Sollo's content and the original government or municipal source, the original source controls.

4.4 Currency and Accuracy of Source Information

Government rules, benefits, deadlines, and procedures change frequently and can vary by ward, municipality, or individual circumstance. We work to keep Life Navigator content current and to display the freshness of each source where possible, but we do not guarantee that any Life Navigator content reflects the most recent version of any law, regulation, or municipal policy. Always confirm time-sensitive, high-stakes, or financially significant information directly with the relevant government office before acting on it.

5. AI Features

5.1 Nature of AI-Generated Content

The AI Features rely on machine learning models that can produce incorrect, incomplete, outdated, fabricated, or contextually inappropriate responses. AI Output is provided for informational and conversational purposes only and is subject to the limitations described in Section 4.2. You should independently verify any AI Output before relying on it, particularly where it concerns legal rights, deadlines, benefit eligibility, financial decisions, or health and safety.

5.2 Your Responsibility for AI Output

You are responsible for evaluating AI Output and for any decisions, communications, or actions you take based on it, whether toward government offices, third parties, other users, or yourself. Sollo does not warrant that AI Output will be accurate, complete, reliable, or suitable for your specific situation.

5.3 Misuse and Circumvention of AI Safeguards

The AI Features include safety guardrails, content filters, and operational boundaries designed to keep their output accurate, lawful, and appropriate. You agree not to attempt to bypass, disable, manipulate, or circumvent these safeguards through prompt injection, "jailbreaking," adversarial inputs, or any other technique intended to elicit output the AI Features are not designed to produce.

If you obtain output through such methods, that output is not sanctioned, endorsed, reviewed, or warranted by Sollo in any way, and Sollo expressly disclaims all liability connected to it. You acknowledge and agree that you bear sole responsibility for: (a) any action you take based on such output; (b) any harm, loss, or damage arising from your reliance on, use of, or distribution of such output; and (c) any consequences of sharing or publishing such output, including to other users or the public. Attempting to circumvent AI safeguards is a violation of these Terms and may result in suspension or termination under Section 13, in addition to the liability and indemnification consequences described in Sections 15 and 16.

5.4 Not a Crisis or Emergency Service

The Companion AI is not a medical device, a substitute for mental health treatment, a crisis hotline, or an emergency response service. Where the Companion AI detects signals consistent with a mental health crisis or risk of self-harm, it is designed to share information about professional support resources, but it cannot guarantee detection of every such situation. If you or someone else is in danger or experiencing a medical or psychiatric emergency, contact local emergency services (110 or 119 in Japan) or another appropriate emergency resource directly. Do not rely on the Companion AI for emergency response.

5.5 Use of Your Inputs to Operate and Improve the AI Features

We may use prompts, conversations, and other inputs you provide to the AI Features to monitor for safety and misuse (including attempts described in Section 5.3), maintain and improve the quality of the AI Features, and otherwise operate the Services, as described in our Privacy Policy.

6. Solo Discovery

Solo Discovery curates recommendations for solo-friendly places, events, and experiences based on your preferences, location, and feedback. These recommendations are informational suggestions only: they are not endorsements, bookings, reservations, or guarantees of availability, safety, quality, pricing, or suitability. Sollo does not own, operate, or control the third-party venues, businesses, or events referenced in Solo Discovery. Your interactions with any third-party venue or organizer are solely between you and that party, and you assume all risk associated with visiting or participating in any recommended place, event, or activity.

7. Parallel Presence

7.1 How It Works

Parallel Presence is an opt-in feature that lets you see the approximate presence of other nearby users who have also opted in, and choose whether to send a low-pressure wave, open a simple chat, or arrange to spend time together. You control your own visibility at all times and can disable Parallel Presence, or limit it to specific contexts, in your settings.

7.2 No Comprehensive Vetting

Sollo may apply identity checks, reporting tools, and content moderation within Parallel Presence, but we do not conduct comprehensive background checks on users and cannot guarantee the identity, intentions, history, or conduct of any other user, online or in person.

7.3 Your Responsibility for In-Person Safety

You are solely responsible for your own safety and judgment when communicating with, meeting, or spending time with other users, whether arranged through Parallel Presence or otherwise. We recommend meeting in public places, telling someone you trust where you are going, and using caution before sharing personal information, your home address, or financial details with another user. Sollo is not responsible for the conduct of any user, and disclaims liability, to the maximum extent permitted by law, for any harm, injury, loss, or dispute arising from interactions between users, whether occurring inside or outside the Services.

7.4 Reporting and Blocking

You can report or block another user at any time through the Services. We review reports and may suspend or remove access for users who violate these Terms, but we are not obligated to take any specific action in response to a report and do not guarantee a particular outcome or response time.

8. Solo Canvas

8.1 Purpose

Solo Canvas is a human-only space for journaling and personal expression, designed around quiet self-reflection rather than follower counts, virality, or other competitive engagement metrics.

8.2 No AI-Generated Content

You may not post content on Solo Canvas that was substantially generated by AI and presented as your own original expression. We may use automated detection and manual review to identify and remove content that violates this restriction, and repeated violations may result in account restrictions under Section 13.

8.3 Your Content and License to Sollo

You retain ownership of the User Content you post on Solo Canvas. By posting User Content, you grant Sollo a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, and display that content solely for the purpose of operating, maintaining, securing, and improving the Services. This license ends when you delete the content or close your account, except to the extent the content has already been viewed, saved, or shared by other users in accordance with your sharing settings, or persists temporarily in backups or logs.

8.4 Content Standards

You agree not to post User Content that is unlawful, harassing, hateful, sexually explicit involving minors, infringing of another's rights, or that discloses another person's private information without their consent.

8.5 Moderation

Sollo is not obligated to actively monitor User Content, but may review, remove, or restrict any content or account that we reasonably believe violates these Terms, at our discretion and without prior notice where circumstances warrant.

9. Pilot Access (Free of Charge)

9.1 Current Pricing

During this pilot phase, the Services are provided to you free of charge. We do not currently collect payment information or process any payments, and no paid plans, subscriptions, or in-app purchases are offered at this time.

9.2 Future Paid Plans

We may introduce paid plans, subscriptions, or in-app purchases in the future. If we do, we will update these Terms, provide clear notice before any change takes effect, incorporate a registered company to operate any commercial offering, and add the billing, cancellation, and Specified Commercial Transactions Act disclosures required for paid services in Japan at that time.

9.3 Financial Guidance Features

Any budgeting, "micro-financial planning," or similar feature, if and when introduced, is an educational planning tool only. It is not investment advice, a financial product recommendation, or a licensed financial planning, banking, or securities service, and Sollo is not acting as your financial advisor when you use it.

10. Acceptable Use

In addition to the feature-specific rules above, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Harass, threaten, stalk, defraud, or impersonate any person, including other users or Sollo staff;
• Misrepresent your affiliation with, or the official status of, any government agency, municipality, or institution;
• Scrape, crawl, reverse-engineer, or use automated means to access the Services (as distinct from Sollo's own retrieval of public government information for Life Navigator) without our prior written consent;
• Interfere with or disrupt the integrity, security, or performance of the Services, including through malware, denial-of-service activity, or unauthorized access attempts;
• Circumvent or attempt to circumvent AI safeguards as described in Section 5.3;
• Infringe the intellectual property, privacy, or other rights of Sollo or any third party; or
• Use another user's information obtained through Parallel Presence or Solo Canvas to harass, stalk, or harm that user.

11. Intellectual Property

11.1 Sollo's Intellectual Property

The Services, including their design, software, AI systems, trademarks (including "Sollo" and "ソロ"), and all Sollo-authored content, are owned by Sollo or its licensors and protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

11.2 Underlying Government Information

The underlying facts, rules, and procedures published by government and municipal sources are generally not subject to copyright protection. Sollo's reformatting, structuring, prioritization, and AI-generated explanations of that material are Sollo's own content and are protected accordingly.

11.3 User Content License

Your license to Sollo for User Content is described in Section 8.3 and applies wherever User Content appears across the Services.

11.4 Feedback

If you send us ideas, suggestions, or feedback about the Services, you agree that we may use them without restriction or obligation to you.

12. Third-Party Sources, Links, and Services

The Services reference, link to, or rely on government and municipal websites and APIs (including the e-Gov API), third-party venues and events featured in Solo Discovery, and third-party platforms such as app stores used for distribution. Sollo does not control and is not responsible for the content, accuracy, availability, security, or practices of these third parties, and your use of any third-party site or service is governed by that party's own terms and policies.

13. Termination and Suspension

You may stop using the Services and delete your account at any time through your account settings. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for Sollo or other users, misused the AI Features, or if required to do so by law. Sections that by their nature should survive termination, including Sections 5.3, 8.3, 11, 14, 15, 16, and 17, will survive.

14. Disclaimers of Warranties

The Services, including all AI Output, Life Navigator content, Solo Discovery recommendations, and Parallel Presence and Solo Canvas features, are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by applicable law. We do not warrant that the Services will be uninterrupted, error-free, or secure.

15. Limitation of Liability

15.1 To the maximum extent permitted by applicable law, Sollo and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or related to your use of the Services, even if advised of the possibility of such damages.

15.2 Because the Services are currently provided to you free of charge during this pilot phase, and to the maximum extent permitted by applicable law, Sollo's aggregate liability for any claim arising out of or related to these Terms or the Services will not exceed JPY 5,000. If we later introduce paid plans, this cap will instead be set at the greater of (a) the amount you paid us in the 12 months before the claim, or (b) JPY 5,000, and this Section will be updated accordingly.

15.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited as a matter of applicable law, including liability for Sollo's willful misconduct (故意) or gross negligence (重大な過失), or liability arising under Japan's Consumer Contract Act (消費者契約法) or Product Liability Act (製造物責任法), to the extent those laws apply to your use of the Services.

16. Indemnification

You agree to indemnify, defend, and hold harmless Sollo and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or related to: (a) your use or misuse of the Services, including any attempt to bypass, disable, or manipulate AI safeguards as described in Section 5.3; (b) your violation of these Terms; (c) your violation of any law or third party's rights; (d) any action or inaction you take in reliance on AI Output, Life Navigator content, or information obtained through Parallel Presence or Solo Canvas; or (e) User Content you submit, post, or share through the Services.

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of Japan, without regard to conflict-of-laws principles. Subject to applicable mandatory consumer-protection law, you and Sollo agree that the Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or relating to these Terms or the Services. If you reside outside Japan, mandatory consumer-protection provisions of your country of residence may also apply to your use of the Services and are not displaced by this Section.

18. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide notice through the Services or by other reasonable means before the change takes effect. Your continued use of the Services after a change takes effect constitutes your acceptance of the updated Terms.

19. General Provisions

19.1 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be interpreted to best reflect the parties' original intent.

19.2 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

19.3 Assignment

Sollo may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.

19.4 Entire Agreement

These Terms, together with our Privacy Policy and any Institutional Partner terms referenced herein, constitute the entire agreement between you and Sollo regarding the Services.

19.5 Language

These Terms are made available in Japanese and in other languages, including English, for convenience. Where a conflict exists between language versions, the Japanese-language version will govern for users in Japan, except where applicable law requires otherwise.
