Menyu Terms of Service
These Terms of Service ("Terms") govern your use of Menyu, a menu-reading and translation app (the "App") operated by SolloMi株式会社 ("Sollo," "we," "us," or "our"). Menyu is a separate product from the Sollo app and website; these Terms cover Menyu only. How we handle your information is described in the Menyu Privacy Policy, which forms part of these Terms.
Sollo is SolloMi株式会社, a company incorporated in Japan on 21 August 2026 (会社法人等番号 0110-01-180064), with its registered office in Shibuya-ku, Tokyo. Its registered address and representative director are set out in the Contact Us section below and on our Company Information page.
1. Acceptance of These Terms
By downloading, opening, or using the App, you agree to these Terms. If you do not agree, do not use the App.
2. Definitions
- "App" means the Menyu mobile application and the server services it connects to.
- "AI Output" means the text the App produces from a menu you photograph, including dish names, translations, descriptions, prices, and allergen indications.
- "Share Link" means a web address you create through the App to show a translated menu to another person.
- "Account" means the optional sign-in you may create with Apple or Google, as described in the Menyu Privacy Policy.
3. Eligibility and Access
3.1 Minimum age
You must be at least 13 years old to use the App. If you are under the age of majority where you live, you may use the App only with the involvement of a parent or guardian.
3.2 Accounts are optional
The App does not require you to register, choose a username, or set a password. It signs in anonymously so that your scans stay separate from other users'. If you choose, you may create an Account by signing in with Apple or Google, described in the Menyu Privacy Policy; this is optional and never required to use the App. You are responsible for the use of the App on your device, and for any activity through an Account you create.
3.3 Your device and connection
You are responsible for your device, your internet access, and any mobile data or roaming charges incurred while using the App.
4. What Menyu Does Not Do
Menyu photographs a menu, reads the text in it using an automated system, and shows you a translation. It also highlights dishes whose text suggests they may contain allergens you have asked it to watch for. This section explains the limits of that. It is the most important section of these Terms.
Menyu is not a food-safety, medical, or allergy-management tool, and it must not be relied on as one. It reads printed text from a photograph and can misread it. It can miss a dish entirely, misread a price, mistranslate an ingredient, or fail to identify an allergen that is present. A menu also does not list every ingredient, so an allergen can be present in a dish the menu never mentions. Menyu never tells you that a dish is safe to eat, and no absence of a warning in the App should be read as one. If you have a food allergy, an intolerance, or any dietary requirement that matters to your health, you must confirm every dish directly with restaurant staff before ordering or eating. Do not decide what to eat based on the App alone.
The App is likewise not a substitute for professional advice of any kind, and prices, availability, and menu contents shown in the App may be out of date, incomplete, or wrong. The restaurant's own menu and its staff are always the authority.
5. AI Output
AI Output is generated automatically by a third-party large-language-model provider, as described in the Privacy Policy. It is produced without human review and may contain errors, omissions, or invented content. We do not warrant that AI Output is accurate, complete, or suitable for any purpose. You are responsible for how you use it, subject to Section 4.
You may use AI Output for your own personal purposes. You may not present it as a verified or authoritative translation of a restaurant's menu, or resell it.
6. Alpha Access (Free of Charge)
The App is currently provided free of charge as an alpha release. It is under active development, may change or break, may lose data, and may become unavailable without notice. We may add, change, limit, or withdraw features, including limits on how many menus can be scanned in a period, at any time. If we introduce paid features in the future, these Terms will be updated before you are charged anything.
7. Acceptable Use
You agree not to:
- Use the App for any unlawful purpose, or in breach of any applicable law;
- Access the App by automated means, or submit images in bulk, in a way that places an unreasonable load on the service or on our AI provider's capacity, or that is designed to increase our costs;
- Attempt to circumvent rate limits, usage limits, authentication, or any other technical restriction;
- Reverse engineer, decompile, or attempt to extract the source code or prompts of the App, except to the extent applicable law expressly permits it;
- Upload images that you have no right to photograph or submit, or that contain another person's personal information without a lawful basis;
- Upload content that is unlawful, or that is intended to manipulate the automated system into producing unlawful or harmful output;
- Upload feedback photos you do not have the right to share, or that contain another person's personal information without a lawful basis; or
- Use the App to build, train, or evaluate a competing product, or to scrape its output at scale.
Feedback you send. If you send us feedback, including through our feedback form, you agree we may use it to improve Menyu, without any obligation to compensate you or to act on it.
8. Sharing a Menu
If you create a Share Link, you are choosing to publish that menu and the photographs it came from to anyone who holds the address. The address is long and randomly generated so it cannot be guessed, and it stops working 24 hours after you create it, but while it is live it is not otherwise access-controlled. You are responsible for who you send it to and for what your photographs contain. Do not create a Share Link for an image containing anything you would not publish.
9. Intellectual Property
9.1 Ours
The App, its design, and its underlying software are owned by Sollo and protected by intellectual property law. These Terms grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the App for its intended purpose.
9.2 Yours
You keep any rights you have in the photographs you take. By submitting them you grant us a non-exclusive, worldwide, royalty-free license to store, process, and analyze them in order to operate the App and to evaluate and improve its accuracy, as described in the Privacy Policy. This license continues for as long as we retain the material under the Privacy Policy's retention terms, and ends when it is deleted.
9.3 Restaurants' content
A menu is normally the restaurant's own content. Menyu is intended for reading a menu you are personally looking at, for your own use. It is not a means of republishing a restaurant's menu, and you are responsible for ensuring your use is lawful where you are.
10. Third-Party Content and Services
The App relies on third-party services, including an AI provider, cloud hosting, and a mapping provider used to suggest nearby restaurants. It may also show links you save or open a maps application on your device. We do not control third-party services or content and are not responsible for them. Restaurant information suggested by a mapping provider may be inaccurate or out of date.
11. Suspension and Termination
We may suspend or restrict access to the App, in whole or in part, if we reasonably believe it is being used in breach of these Terms, or where necessary to protect the service, other users, or our providers. You may stop using the App at any time by deleting it; note that deleting the App does not by itself delete information already sent to us. To delete your data or Account, use the in-App control described in the Privacy Policy.
12. Disclaimers of Warranties
The App, including all AI Output, is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by applicable law. We do not warrant that the App will be uninterrupted, error-free, or secure, or that any translation or allergen indication will be correct.
13. Limitation of Liability
13.1 Indirect and consequential damages
To the maximum extent permitted by applicable law, Sollo and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, arising out of or related to your use of the App, even if advised of the possibility of such damages.
13.2 Cap on our liability
Because the App is currently provided to you free of charge during this alpha phase, and to the maximum extent permitted by applicable law, Sollo's aggregate liability for any claim arising out of or related to these Terms or the App will not exceed JPY 5,000. If we later introduce paid plans, this cap will instead be set at the greater of (a) the amount you paid us in the 12 months before the claim, or (b) JPY 5,000, and this Section will be updated accordingly.
13.3 Liability that cannot be excluded
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited as a matter of applicable law, including liability for Sollo's willful misconduct (故意) or gross negligence (重大な過失), liability for death or personal injury to the extent it cannot lawfully be excluded, or liability arising under Japan's Consumer Contract Act (消費者契約法) or Product Liability Act (製造物責任法), to the extent those apply.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Sollo and its directors, officers, employees, and affiliates from any claim, loss, or expense arising out of your breach of these Terms, your unlawful use of the App, or content you submit or share through it.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of Japan, without regard to conflict-of-laws principles. Subject to applicable mandatory consumer-protection law, you and Sollo agree that the Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or relating to these Terms or the App. If you reside outside Japan, mandatory consumer-protection provisions of your country of residence may also apply to your use of the App and are not displaced by this Section.
16. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide notice through the App or by other reasonable means before the change takes effect. Your continued use of the App after a change takes effect constitutes your acceptance of the updated Terms.
17. General Provisions
17.1 Severability
If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect, and the unenforceable provision will be interpreted to best reflect the parties' original intent.
17.2 No waiver
Our failure to enforce any provision is not a waiver of our right to do so later.
17.3 Assignment
You may not assign these Terms without our consent. We may assign them to a successor entity.
17.4 Entire agreement
These Terms and the Menyu Privacy Policy are the entire agreement between you and Sollo regarding the App.
17.5 App store terms
Your use of the App is also subject to the terms of the app store you obtained it from. Where those terms require it, you acknowledge that the app store provider is not responsible for the App and is not a party to these Terms.
