Terms of Service

1. Acceptance of These Terms

By creating an account, downloading the app, using the web app, or otherwise using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

If you use the Services on behalf of an organization (for example, under an Institutional Partner arrangement described in Section 3.4), you confirm that you have authority to bind that organization. In that case, "you" means both you and the organization.

2. Definitions

"Life Navigator" means the feature that gives structured guidance for bureaucratic and life-event situations.

"Companion AI" means the conversational assistant that helps you find and understand information about those situations.

"AI Features" means the Companion AI, the AI-generated guidance and language output within Life Navigator, and any other generative or AI-assisted function in the Services.

"AI Output" means any text, translation, recommendation, checklist, summary, or other content produced by the AI Features.

"User Content" means any content you submit through the Services, including profile information, Life Navigator inputs, and the prompts, conversations, and feedback you give to the AI Features.

"Institutional Partner" means an employer, municipality, university, or other organization that sponsors or licenses access to the Services for its members.

3. Eligibility and Accounts

3.1 Minimum Age

You must be at least 18 years old to use the Services. The Services deal with bureaucratic and financial matters, so we do not currently offer a supervised or guardian-consented experience for younger users. By using the Services, you confirm that you meet this requirement.

3.2 Account Registration

You agree to give accurate registration information, keep it up to date, and keep your login credentials confidential. You are responsible for all activity under your account. If you suspect unauthorized use of your account, tell us promptly using the contact details in Section 17.

3.3 One Account per Person

The Services are for individual personal use. You may not keep more than one account to evade restrictions or enforcement actions. You may not share your login credentials with another person.

3.4 Institutional or Sponsored Access

If you reach the Services through an Institutional Partner, additional terms agreed between Sollo and that Institutional Partner may apply to your access (for example, license duration or eligibility). Your Institutional Partner may receive limited, aggregated, de-identified usage information about its sponsored population. It will not receive your individual Life Navigator inputs or Companion AI conversations. Our Privacy Policy explains this further.

4. The Services

Sollo is a life platform for people living independently in Japan (ひとりさまへ). It currently has two main features: Life Navigator and the Companion AI. The Services do not currently include messaging, posts, or any other user-to-user features. Each feature has specific terms below, in addition to the general terms that apply to all the Services.

4.1 Life Navigator: Nature of the Service

Life Navigator reformats and explains publicly available government and municipal information, for example about taxes, pensions, health insurance, unemployment support, and benefits for single parents. It turns this information into structured, step-by-step guidance and links back to the official source wherever one is available. We give priority to official channels, such as the e-Gov API, when we retrieve this information.

4.2 Not Professional Advice

Life Navigator content is for general information only. This includes guidance, checklists, eligibility summaries, scripts, and translated explanations. It is not legal, tax, financial, immigration, or medical advice. It does not replace a qualified professional, a government caseworker, or the relevant municipal or national authority. Sollo is not a government agency, law firm, accounting firm, or immigration consultancy. Using Life Navigator or the Companion AI does not create a professional-client relationship of any kind.

Before you rely on any Life Navigator content, you are responsible for checking eligibility, deadlines, required documents, and procedural steps directly with the relevant authority. You are also responsible for the decisions you make based on it.

4.3 Translations and AI-Generated Language Output

Government and municipal source material is generally published in Japanese. When Sollo shows this information in English or another language, that content is an AI-generated interpretation. It is not a certified, official, or word-for-word translation. Wherever possible, we link to the original Japanese source next to the translated content, so that you, or someone you trust, can check it. If Sollo's content differs from the original government or municipal source, the original source controls.

4.4 Currency and Accuracy of Source Information

Government rules, benefits, deadlines, and procedures change often. They can also differ by ward, municipality, or personal circumstance. We work to keep Life Navigator content current and, where possible, to show how recent each source is. We do not guarantee that any Life Navigator content reflects the latest version of any law, regulation, or municipal policy. Always confirm time-sensitive, high-stakes, or financially significant information with the relevant government office before you act on it.

5. AI Features

5.1 Nature of AI-Generated Content

The AI Features use machine learning models. These models can produce responses that are incorrect, incomplete, outdated, made up, or unsuitable for your situation. AI Output is for information and conversation only and is subject to Section 4.2. Check any AI Output yourself before you rely on it, especially when it concerns legal rights, deadlines, benefit eligibility, financial decisions, or health and safety.

5.2 Your Responsibility for AI Output

You are responsible for evaluating AI Output and for the decisions, communications, and actions you take based on it, whether toward government offices, third parties, or yourself. Sollo does not promise that AI Output will be accurate, complete, reliable, or suitable for your situation.

5.3 Misuse and Circumvention of AI Safeguards

The AI Features include safety guardrails, content filters, and operational limits. They are designed to keep output accurate, lawful, and appropriate. You agree not to bypass, disable, manipulate, or circumvent them through prompt injection, "jailbreaking," adversarial inputs, or any other technique meant to produce output the AI Features are not designed to produce.

Output obtained this way is not sanctioned, endorsed, reviewed, or warranted by Sollo. Except as stated in Section 12.3, Sollo is not liable for it. Except as stated in Section 12.3, you are responsible for: (a) any action you take based on that output; (b) any harm, loss, or damage that arises from your reliance on, use of, or sharing of that output; and (c) any consequences of sharing or publishing it, including to the public. Attempting to circumvent AI safeguards violates these Terms. It may lead to suspension or termination under Section 10, and to the consequences described in Sections 12 and 13.

5.4 Not a Crisis or Emergency Service

The Companion AI is not a medical device, mental health treatment, a crisis hotline, or an emergency response service. If it detects signs of a mental health crisis or risk of self-harm, it is designed to share information about professional support resources. It cannot guarantee that it will detect every such situation. If you or someone else is in danger or having a medical or psychiatric emergency, contact local emergency services (110 or 119 in Japan) or another appropriate emergency resource directly. Do not rely on the Companion AI in an emergency.

5.5 Use of Your Inputs to Operate and Improve the AI Features

We may use the prompts, conversations, and other inputs you give to the AI Features to monitor for safety and misuse (including the attempts described in Section 5.3), to maintain and improve the quality of the AI Features, and to operate the Services otherwise. Our Privacy Policy explains how.

6. Pilot Access (Free of Charge)

6.1 Current Pricing

During this pilot phase, the Services are free of charge. We do not currently collect payment information or process payments. No paid plans, subscriptions, or in-app purchases are offered at this time.

6.2 Future Paid Plans

We may introduce paid plans, subscriptions, or in-app purchases in the future. If we do, we will update these Terms and give clear notice before the change takes effect. SolloMi株式会社 will operate any commercial offering. We will also add the billing and cancellation terms, and the disclosures that the Act on Specified Commercial Transactions (特定商取引に関する法律) requires for paid services in Japan.

6.3 Financial Guidance Features

A budgeting, "micro-financial planning," or similar feature, if we introduce one, is an educational planning tool only. It is not investment advice, a financial product recommendation, or a licensed financial planning, banking, or securities service. Sollo does not act as your financial advisor when you use it.

7. Acceptable Use

In addition to the feature-specific rules above, you agree not to:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Harass, threaten, stalk, defraud, or impersonate any person, including Sollo staff;
• Misrepresent your affiliation with, or the official status of, any government agency, municipality, or institution;
• Scrape, crawl, reverse-engineer, or use automated means to access the Services (as distinct from Sollo's own retrieval of public government information for Life Navigator) without our prior written consent;
• Interfere with or disrupt the integrity, security, or performance of the Services, including through malware, denial-of-service activity, or unauthorized access attempts;
• Circumvent or attempt to circumvent AI safeguards as described in Section 5.3;
• Infringe the intellectual property, privacy, or other rights of Sollo or any third party.

Sollo is not obligated to actively monitor User Content, but may review, remove, or restrict any content or account that we reasonably believe violates these Terms, at our discretion and without prior notice where circumstances warrant.

8. Intellectual Property

8.1 Sollo's Intellectual Property

The Services, including their design, software, AI systems, trademarks (including "Sollo" and "ソロ"), and all Sollo-authored content, are owned by Sollo or its licensors and protected by applicable intellectual property laws. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

8.2 Underlying Government Information

The underlying facts, rules, and procedures published by government and municipal sources are generally not subject to copyright protection. Sollo's reformatting, structuring, prioritization, and AI-generated explanations of that material are Sollo's own content and are protected accordingly.

8.3 User Content License

You retain ownership of your User Content. By submitting User Content, you grant Sollo a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, and display that content solely for the purpose of operating, maintaining, securing, and improving the Services. This license ends when you delete the content or close your account, except to the extent the content persists temporarily in backups or logs, or as described in our Privacy Policy.

8.4 Feedback

If you send us ideas, suggestions, or feedback about the Services, you agree that we may use them without restriction or obligation to you.

9. Third-Party Sources, Links, and Services

The Services reference, link to, or rely on government and municipal websites and APIs (including the e-Gov API), and third-party platforms such as app stores used for distribution. Sollo does not control and is not responsible for the content, accuracy, availability, security, or practices of these third parties, and your use of any third-party site or service is governed by that party's own terms and policies.

10. Termination and Suspension

You may stop using the Services and delete your account at any time through your account settings, as described on our account deletion page. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for Sollo or others, misused the AI Features, or if required to do so by law. Sections that by their nature should survive termination, including Sections 5.3, 8, 11, 12, 13, and 14, will survive.

11. Disclaimers of Warranties

To the maximum extent permitted by applicable law, and subject to Section 12.3, the Services are provided "as is" and "as available," without warranties of any kind. This covers all AI Output and Life Navigator content. It applies to express, implied, and statutory warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

12. Limitation of Liability

12.1 Subject to Section 12.3, and to the maximum extent permitted by applicable law, Sollo and its officers, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or opportunity, that arises out of or relates to your use of the Services, even if we were told such damages were possible.

12.2 The Services are currently free of charge during this pilot phase. Subject to Section 12.3, and to the maximum extent permitted by applicable law, Sollo's total liability for any claim that arises out of or relates to these Terms or the Services will not exceed JPY 5,000. If we later introduce paid plans, this cap will instead be the greater of (a) the amount you paid us in the 12 months before the claim, or (b) JPY 5,000. We will update this Section when that happens.

12.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law. In particular, Sections 11, 12.1, and 12.2 do not apply to loss caused by the willful misconduct (故意) or gross negligence (重大な過失) of Sollo, its representatives, or its employees. They also do not limit liability under Japan's Consumer Contract Act (消費者契約法) or Product Liability Act (製造物責任法), to the extent those laws apply to your use of the Services.

13. Indemnification

You agree to indemnify, defend, and hold harmless Sollo and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and reasonable expenses (including legal fees) arising out of or related to: (a) your use or misuse of the Services, including any attempt to bypass, disable, or manipulate AI safeguards as described in Section 5.3; (b) your violation of these Terms; (c) your violation of any law or third party's rights; (d) any action or inaction you take in reliance on AI Output or Life Navigator content; or (e) User Content you submit through the Services.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Japan, without regard to conflict-of-laws principles. Subject to applicable mandatory consumer-protection law, you and Sollo agree that the Tokyo District Court shall have exclusive jurisdiction as the court of first instance over any dispute arising out of or relating to these Terms or the Services. If you reside outside Japan, mandatory consumer-protection provisions of your country of residence may also apply to your use of the Services and are not displaced by this Section.

15. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will give notice through the Services or by other reasonable means before the change takes effect. Your continued use of the Services after a change takes effect constitutes your acceptance of the updated Terms.

16. General Provisions

16.1 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect, and the unenforceable provision will be interpreted to best reflect the parties' original intent.

16.2 No Waiver

Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.

16.3 Assignment

Sollo may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign these Terms without our prior written consent.

16.4 Entire Agreement

These Terms, together with our Privacy Policy and any Institutional Partner terms referenced herein, constitute the entire agreement between you and Sollo regarding the Services.

16.5 Language

These Terms are currently published in English only. If we publish a Japanese-language version and it conflicts with another language version, the Japanese-language version will govern for users in Japan, except where applicable law requires otherwise. Versions in any other language are for convenience.
